Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, website, and engagements offered by Zynora Creative Studios ("Zynora Studios," "we," "us," or "our"). By engaging our services, accessing our website, or entering into a project agreement with us, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree with any part of these Terms, you should not use our services.
About Zynora Studios
Zynora Creative Studios is a creative and strategic consulting studio based in Lagos, Nigeria. We provide a range of services including brand identity and design, creative and brand strategy, content and media production, campaign and growth execution, communications consulting, training and capacity building, and advisory services for individuals, startups, SMEs, corporate teams, NGOs, and other organisations.
Acceptance of Terms
By engaging our services — whether through a signed proposal, project agreement, verbal confirmation, payment, or continued use of our website — you confirm that you:

- —Have read, understood, and agree to be bound by these Terms.
- —Have the authority to enter into these Terms on behalf of yourself or the organisation you represent.
Services
3.1 Scope of Services
The specific scope, deliverables, timelines, and pricing for each engagement will be outlined in a separate proposal, statement of work, or client agreement (collectively, "Project Agreement"). In the event of any conflict between these Terms and a Project Agreement, the Project Agreement shall prevail with respect to the specific engagement.
3.2 Service Delivery
We are committed to delivering services with professionalism, care, and strategic excellence. Timely delivery is dependent on the receipt of required materials, approvals, and feedback from the client within agreed timeframes. Delays caused by the client may result in revised timelines, which we will communicate promptly.
3.3 Revisions and Changes
Revisions and change requests beyond the agreed scope outlined in the Project Agreement may be subject to additional fees and timelines. We will notify you in advance before proceeding with any out-of-scope work.
Fees, Payment, and Billing
4.1 Fees
Our fees are as outlined in the Project Agreement or proposal provided to you. All fees are quoted in Nigerian Naira (NGN) unless otherwise stated.
4.2 Payment Terms
- —A deposit (typically 50% of the total project fee) is required before work commences, unless otherwise agreed in writing.
- —The remaining balance is due upon project completion or as outlined in the payment schedule in your Project Agreement.
- —For retainer or training engagements, payment terms will be agreed upon prior to the commencement of services.
4.3 Late Payments
Payments not received by the due date may result in a pause or suspension of services until the outstanding balance is settled. We reserve the right to charge a late payment fee of 5% per month on overdue balances, unless otherwise agreed.
4.4 Refunds
Deposits are non-refundable once work has commenced. Refunds for amounts paid beyond the deposit will be assessed on a case-by-case basis, taking into account work completed at the time of cancellation.
Client Responsibilities
To enable effective delivery, clients are expected to:
- —Provide accurate, complete, and timely information, materials, and feedback as requested.
- —Designate a primary point of contact with the authority to give instructions and approvals.
- —Review and provide feedback on deliverables within agreed timelines.
- —Ensure that materials provided to Zynora Studios (including text, images, data, and brand assets) do not infringe the intellectual property rights of third parties.
- —Make payments in accordance with the agreed schedule.
Intellectual Property
6.1 Ownership of Deliverables
Upon full and final payment of all fees owed, Zynora Studios assigns to the client all rights, title, and interest in the final deliverables created specifically for that engagement, as described in the Project Agreement.
6.2 Zynora Studios' Rights
Zynora Studios retains ownership of all preliminary concepts, working documents, internal tools, methodologies, frameworks, templates, and any materials not included as final deliverables. We also retain the right to use completed work in our portfolio, case studies, and marketing materials, unless the client expressly requests otherwise in writing.
6.3 Third-Party Materials
Where deliverables incorporate third-party licensed content (such as stock images, fonts, or software), we will notify you accordingly. The client is responsible for ensuring that any such licensed materials are used in accordance with their respective licence terms.
6.4 Client-Provided Materials
By submitting materials to Zynora Studios for use in a project, the client warrants that they have the right to use and share those materials and grants us a non-exclusive licence to use them solely for the purpose of delivering the agreed services.
Confidentiality
Both parties agree to keep confidential any proprietary, sensitive, or non-public information received in connection with an engagement ("Confidential Information"). Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except where required by law.
This confidentiality obligation survives the termination of any engagement or agreement.
Cancellation and Termination
8.1 By the Client
The client may cancel or terminate a project at any time by providing written notice. In such cases, the client remains liable for payment of all work completed up to the date of cancellation, including any non-recoverable third-party costs incurred. Deposits paid are non-refundable.
8.2 By Zynora Studios
We reserve the right to terminate or suspend services in the event of:
- —Non-payment or persistent late payment.
- —Breach of these Terms by the client.
- —Conduct that is abusive, unlawful, or undermines the professional relationship.
In such cases, the client will be notified in writing and will be charged for work completed to that point.
Limitation of Liability
To the maximum extent permitted by applicable law:
- —Zynora Studios provides services in good faith and on a best-efforts basis, but does not guarantee specific business results, outcomes, or returns on investment.
- —Our total liability to a client arising out of or in connection with any engagement shall not exceed the total fees paid by the client for the relevant project.
- —We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from our services or your use of our website.
Warranties and Representations
Zynora Studios warrants that:
- —We will perform services with reasonable skill, care, and professionalism.
- —Final deliverables will be original works or properly licensed materials.
We do not warrant that our services will be uninterrupted, error-free, or suitable for every purpose. Our website and digital tools are provided on an "as is" basis.
Indemnification
The client agrees to indemnify and hold harmless Zynora Creative Studios, its directors, employees, and partners from any claims, losses, damages, liabilities, or expenses (including legal fees) arising from:
- —The client's breach of these Terms.
- —The use of materials or information provided by the client that infringes the rights of a third party.
- —The client's misuse of the deliverables or services provided.
Website Use
By accessing our website, you agree to use it only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- —Attempt to gain unauthorised access to our systems or data.
- —Introduce any viruses, malware, or harmful code.
- —Use our website or content for commercial purposes without our prior written consent.
We reserve the right to suspend or restrict access to our website at any time and without notice.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
In the event of a dispute arising out of or in connection with these Terms or any engagement, the parties agree to first attempt resolution through good-faith negotiation. If the matter cannot be resolved within 30 days of written notice, either party may refer the dispute to mediation or litigation before the appropriate courts in Lagos, Nigeria.
Force Majeure
Zynora Studios shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, civil unrest, government action, pandemic, or internet service disruptions.
Amendments to These Terms
We reserve the right to update or modify these Terms of Service at any time. The revised Terms will be published on our website with an updated effective date. Your continued use of our services or website following any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
Entire Agreement
These Terms, together with any applicable Project Agreement, constitute the entire agreement between you and Zynora Studios concerning your use of our services, and supersede all prior discussions, representations, or agreements relating to the same subject matter.
